These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Springwood Digital Labs Private Limited (CIN: U72900MP2021PTC057776), a company incorporated in India and operating under the brand name Propel ("Propel," "we," "us," or "our"), governing your access to and use of the website www.trypropel.ai and all associated digital properties, tools, and services (collectively, the "Services").
These Terms constitute a legally binding agreement between you and Springwood Digital Labs Private Limited (CIN: U72900MP2021PTC057776), a company incorporated under the Companies Act, 2013 and registered in India, operating under the brand name Propel ("Propel," "we," "us," or "our"). Springwood Digital Labs Private Limited is the contracting entity for all Services described in these Terms, and is the entity that raises invoices and receives payment from clients. Supreme AI Inc, a Delaware corporation with its business address at 136 Madison Avenue, New York, NY 10016, United States, is an affiliate of Springwood Digital Labs Private Limited and remains the owner of the Propel brand and technology, which it licenses to us for the delivery of the Services. Supreme AI Inc is not a party to these Terms and does not invoice or collect payment for the Services. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
Springwood Digital Labs Private Limited is the contracting and invoicing entity for all Propel Services. All fees are billed and collected by Springwood Digital Labs Private Limited, and these Terms are governed by the laws of India.
Propel is an AI-powered lifecycle marketing agency. Our Services include lifecycle marketing strategy and implementation; email, push notification, in-app messaging, and SMS campaign management; marketing automation setup across platforms including Customer.io, Braze, Klaviyo, and others; data engineering, segmentation, and audience analytics; AI-powered personalisation, content generation, and predictive modelling; and website tools and educational materials published on our website. The specific scope, deliverables, and timelines of any engagement are set out in the applicable Statement of Work ("SOW") or service agreement executed between you and Springwood Digital Labs Private Limited.
You must be at least 18 years of age and have the legal authority to enter into these Terms. If you are using our Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity. You agree to provide accurate, current, and complete information, and you are responsible for maintaining the confidentiality of any credentials associated with your use of our Services. You agree not to use our Services to violate any applicable law, transmit harmful or unlawful content, gain unauthorised access to our systems, use automated scraping tools, or impersonate any person or entity.
All content, features, and functionality of our website, including text, graphics, logos, icons, images, the Propel brand, the AURA platform, and the Sonic AI Copilot, are the exclusive property of Supreme AI Inc, a Delaware corporation with its business address at 136 Madison Avenue, New York, NY 10016, United States and an affiliate of Springwood Digital Labs Private Limited, or of its licensors, and are protected by applicable intellectual property laws. Supreme AI Inc licenses this intellectual property to Springwood Digital Labs Private Limited for the delivery of the Services. Ownership of deliverables created during a client engagement is governed by the applicable SOW or service agreement. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our website for its intended purpose.
Fees, billing frequency, and currency are specified in the applicable SOW. All invoices are raised by Springwood Digital Labs Private Limited and are payable within fifteen (15) days of the invoice date. Late payments may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. All fees are exclusive of Goods and Services Tax (GST) and any other applicable taxes, levies, duties, or withholding, which will be charged in addition at the prevailing rates and are payable by you. Payments are processed through authorised payment partners, and cross-border payments are received in accordance with applicable Indian foreign exchange regulations. Refunds and cancellations are governed by our Refund and Cancellation Policy, which forms part of these Terms.
During any engagement, both parties may share confidential information. Each party agrees to hold the other's Confidential Information in strict confidence, to use it only for the purposes of the engagement, and not to disclose it to any third party without prior written consent. Confidentiality obligations survive termination for two (2) years. Our Services involve integration with third-party platforms, and your use of those platforms is governed by their respective terms. Propel may also offer free tools, calculators, and resources on our website, provided "as is" for informational purposes only, with no guarantee of accuracy or applicability.
To the maximum extent permitted by law, Springwood Digital Labs Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability shall not exceed the total amount paid by you to Springwood Digital Labs Private Limited in the six (6) months preceding the claim. Our Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee specific marketing results unless explicitly stated in a signed service agreement. You agree to indemnify and hold harmless Springwood Digital Labs Private Limited and its affiliates from any claims arising from your use of our website, your violation of these Terms, or your infringement of any third-party rights.
We may terminate or suspend your access at any time for conduct that violates these Terms. These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation for thirty (30) days, failing which the courts at Bengaluru, Karnataka shall have exclusive jurisdiction. We may modify these Terms at any time, and your continued use after changes constitutes acceptance. If any provision is held invalid, the remaining provisions continue in full force. These Terms, together with our Privacy Policy, our Refund and Cancellation Policy, and any applicable SOW, constitute the entire agreement between you and us.
